GameStop CEO Ryan Cohen Buys $26.4M GME Stake

GameStop CEO Ryan Cohen Adds $26.4 Million to GME Stake

GameStop CEO Ryan Cohen bought another 1.15 million shares of GameStop (NYSE: GME) on Monday, spending approximately $26.4 million in the latest insider purchase disclosed to U.S. regulators.

According to a Securities and Exchange Commission Form 4, Cohen purchased 1,150,680 Class A shares on September 21, 2026, at a weighted-average price of $22.9375. The individual transactions ranged from $22.76 to $23.02 per share. Following the purchase, Cohen directly owned 40,498,522 GameStop shares.

The purchase comes only 11 days after another major acquisition by Cohen, when he bought 1 million GameStop shares for approximately $20.4 million on September 10.

For investors, the latest transaction is notable not simply because of its size, but because it comes while GameStop is pursuing a significantly different financial strategy from the traditional video-game retailer it once was.

Ryan Cohen's Latest GameStop Purchase

Cohen's September 21 transaction was disclosed through a Form 4 filing, which U.S. corporate insiders use to report changes in their beneficial ownership.

The filing identifies Cohen as President, CEO and Chairman of GameStop. It also confirms that the shares were purchased directly rather than received through an equity award.

The approximately $26.4 million purchase increases Cohen's direct stake by more than 1.15 million shares.

Importantly, the transaction itself does not establish why Cohen made the purchase. Investors can observe the size, price and timing of the transaction, but any interpretation of his personal investment decision beyond those facts remains speculative.

Cohen's buying activity is nevertheless receiving attention because he is GameStop's largest individual insider and has previously made substantial purchases of the company's stock.

GameStop Insider Buying Has Continued

Monday's purchase follows a series of insider transactions in September.

Cohen purchased 1 million shares at a weighted-average price of $20.3759 on September 10, according to another SEC Form 4. The filing shows his direct ownership increased to 39,347,842 shares after that transaction.

Other GameStop directors have also reported transactions during September, although the size and nature of those transactions differ.

The sequence means Cohen has spent roughly $46.8 million on GameStop shares across the September 10 and September 21 purchases, based on the disclosed transaction values.

That is a significant personal capital commitment, but investors should avoid treating insider buying as an automatic signal about future stock performance. Insider transactions provide information about management ownership and capital commitment, but they do not remove the company's operating or valuation risks.

GameStop's Business Has Changed Significantly

The latest insider purchase comes against the backdrop of a major shift in GameStop's financial profile.

In its second-quarter results released on September 8, GameStop reported $790.2 million in net sales, compared with $972.2 million in the year-earlier quarter. Despite the lower sales figure, operating income reached $160.2 million, the highest second-quarter operating income in the company's history.

The strongest growth came from collectibles.

GameStop's collectibles revenue increased 57% year over year to $356.3 million, representing 45.1% of total quarterly sales. The company has begun presenting its business in three categories: Collectibles, Video Games, and Pre-Owned and Refurbished.

This shift is important because it shows where GameStop is generating growth even while its traditional retail revenue remains under pressure.

Cash and Investments Are Central to the GameStop Story

GameStop's balance sheet has also become a major part of the investment narrative.

As of August 1, the company had $5.4 billion of cash, cash equivalents, marketable securities, digital assets and related receivables. Of that amount, approximately $5.1 billion consisted of cash, cash equivalents and marketable securities.

GameStop also held approximately 43.4 million shares of eBay, worth about $4.9 billion at the end of the quarter. The company had converted its previously disclosed eBay derivative position into a direct equity investment during the quarter.

This means GameStop's market valuation cannot be viewed purely through the lens of its retail operations.

A significant portion of the company's financial profile now reflects cash, investments and capital allocation decisions alongside its operating business.

That creates both flexibility and risk: large financial assets can provide strategic options, but the returns generated from those assets and the way management deploys capital can materially affect shareholder outcomes.

GameStop Raises Adjusted EBITDA Outlook

Management also raised its fiscal 2026 adjusted EBITDA outlook.

GameStop now expects adjusted EBITDA of more than $650 million for the fiscal year ending January 30, 2027, compared with its previous expectation of more than $600 million. Adjusted EBITDA for the first six months of the fiscal year was $339.7 million.

EBITDA is a measure of operating profitability before interest, taxes, depreciation and amortization. Adjusted EBITDA excludes certain items management considers outside its underlying operating performance.

The higher outlook gives investors another metric to monitor alongside sales trends and the company's growing collectibles business.

However, adjusted EBITDA should not be confused with cash flow or net income. Investors need to consider the full financial statements when assessing GameStop's performance.

Debt Has Also Been Reduced

GameStop has been restructuring its balance sheet at the same time.

On September 3, the company completed privately negotiated exchanges that retired approximately $1.4 billion of aggregate principal amount of its 0% convertible senior notes due 2030 and 2032.

The transactions reduced GameStop's total long-term debt to approximately $2.8 billion.

The combination of large financial assets and lower long-term debt is an important part of the company's current capital structure.

For investors, the question is how effectively GameStop ultimately converts that financial flexibility into sustainable operating growth or other shareholder value.

What the Insider Purchase Means for GME Investors

Cohen's $26.4 million purchase is clearly a meaningful insider transaction.

But the most useful interpretation is not simply that the CEO bought shares, therefore the stock must rise.

Instead, investors should consider the transaction alongside the company's underlying financial position.

GameStop currently has:

  • A large cash and securities position

  • A substantial eBay investment

  • Growing collectibles sales

  • Higher adjusted EBITDA guidance

  • Lower long-term debt following the convertible-note exchanges

  • Continued insider buying by CEO Ryan Cohen

At the same time, quarterly net sales were lower year over year, and the company remains heavily exposed to the difficult economics of physical video-game retail. The value of its investment portfolio and the future performance of its operating businesses can also introduce substantial volatility.

What Investors Should Watch Next

The next major signals for GameStop will come from its operating performance and capital allocation rather than the insider purchase alone.

Investors should watch whether collectibles growth continues, whether the company can maintain its higher profitability outlook, and how its cash and securities are deployed.

The eBay investment is another important variable. Changes in its market value can affect GameStop's overall financial position even though they are separate from the company's retail operations.

Finally, future insider transactions will be worth monitoring. A pattern of purchases can provide additional information about insider ownership, although it still should not be treated as a guaranteed indicator of future returns.

GameStop Stock Outlook After Cohen's $26 Million Buy

Ryan Cohen's latest purchase puts another $26.4 million of his personal capital into GameStop, taking his direct ownership to more than 40.4 million shares.

The timing is notable because GameStop has recently reported record second-quarter operating income, strong collectibles growth, a higher adjusted EBITDA outlook and a balance sheet containing billions of dollars in cash and securities.

For GME investors, however, the key issue remains whether these financial strengths can translate into durable operating performance and disciplined capital allocation.

Cohen's purchase is an important insider-ownership development, but the next earnings reports, cash deployment decisions, collectibles growth and overall profitability will provide a broader test of GameStop's strategy.
